Terms and Conditions
Effective 12 October 2026 · Applies to the Milba dashboard at milbaagency.com, the Milba mobile app and the advertising services Milba provides.
1. About these Terms
These Terms are a contract between you and VEILOA LTD, a company registered in England and Wales at 86-90 Paul Street, London EC2A 4NE, trading as Milba or Milba Agency (“Milba”, “we”, “us”).
You accept them when you create an account, and they apply every time you use the dashboard, the app or our services. If you accept on behalf of a company, you confirm that you are authorised to bind it, and “you” means that company.
Our services are intended for businesses and professionals acting for purposes of their trade. If a written proposal or agreement signed by both parties covers the same subject, it prevails over these Terms where they conflict.
2. The service
Milba is a performance marketing agency. We plan, create and manage advertising campaigns on third-party platforms such as Google Ads, Meta, Pinterest and TikTok, and give you a dashboard to follow results, invoices, reports, meetings and support tickets.
Some clients join through an academy or community (“community”). The community may set the price you pay, but your contract for the services is with Milba. Coaches and community owners get limited access to the information needed for their role.
We may change, add or remove features of the dashboard and the app at any time, provided the core service you pay for is not materially reduced.
3. Your account
- New accounts are reviewed and may be refused or approved at our discretion.
- Keep your password confidential and use a strong, unique one. You are responsible for everything done through your account, and must tell us straight away if you suspect unauthorised access.
- Accounts are personal. Do not share your login; ask us for additional users instead.
- The information you give us, including your billing details, must be accurate and kept up to date.
4. Acceptable use
You must not, and must not help anyone else to:
- access or try to access accounts, data or systems that are not yours;
- probe, scan or test the security of the service, or exploit a vulnerability, without our prior written permission — report suspected vulnerabilities to us instead;
- copy, scrape, reverse engineer or resell the dashboard, the app or any part of them;
- overload, disrupt or interfere with the service, or upload malware;
- use the service for anything unlawful, fraudulent or that infringes the rights of others.
We may suspend or close an account immediately, without refund, if we reasonably believe these rules have been broken, and we may report unlawful activity to the authorities.
5. Advertising campaigns
- Authorisation. You authorise us to access the advertising, store and analytics accounts you connect or share with us, and to create, change, pause and publish campaigns, ads and assets in them to deliver the service.
- Your content and products. You confirm that you hold the rights to the brands, images, texts and products you give us or that we advertise for you, and that they, your store and your offers comply with the law and with each platform’s policies. You review and approve ads and AI-assisted content before relying on them.
- Ad spend. The budget spent on the platforms is charged by the platforms directly to you. It is not part of our fees and we never refund it.
- No guaranteed results. We apply professional care and our experience, but advertising results depend on many factors outside our control. We do not guarantee sales, revenue, return on ad spend, approval of ads or any other outcome.
- Third-party platforms. Advertising platforms, Shopify and other providers act under their own terms. We are not responsible for their decisions, outages, policy or algorithm changes, disapproved ads, or account restrictions and suspensions.
- Figures in the dashboard. Spend, revenue, attribution and other figures are provided for information and may be delayed, estimated or later adjusted by the platforms. The platforms’ own records prevail.
6. Fees and payment
- Subscription. Access to the service is billed as a monthly subscription that renews automatically every 30 days until cancelled. The price is the one shown before you pay — your agreed price, your community’s price or our standard price — plus any extra stores beyond those included and any monthly add-on services you choose.
- Add-ons and changes. Adding a service or a store during a billing period is charged for the rest of that period; the new monthly total applies from the next renewal. One-time services are charged once, when ordered. A store added to your account can only be used once it has been paid for.
- Commission on ad spend. Where agreed, we charge a commission on the advertising spend we manage for you. It is invoiced every week for the Sunday to Saturday week just ended, always in euros; spend in another currency is converted at the European Central Bank reference rate for each day. Invoices are due within 7 days of issue.
- Prices and taxes. Prices are shown in the currency of your plan and include any VAT that applies. We may change our prices with at least 30 days’ notice; the new price applies from your next renewal after that notice.
- Payment processing. Payments are processed by Whop, our payment provider, under its own terms. We never see or store your full card or bank details. Promotional codes apply only as stated when they are issued.
7. Late or failed payment
- If a renewal fails, we tell you in the dashboard and by email. If it is still unpaid 7 days later, access to the dashboard is blocked until you pay.
- If an invoice is overdue, we may suspend access and pause the campaigns we manage for you until it is paid. We are not responsible for any loss caused by that pause.
- Overdue amounts carry statutory late payment interest and reasonable recovery costs, to the extent permitted by law.
- Opening a chargeback or payment dispute for an amount that is due is a breach of these Terms: we may suspend the account and recover the amount and any fees it causes.
8. Cancellation, refunds and termination
- You can cancel your subscription or a monthly service at any time in the dashboard. It stays active until the end of the period already paid for and is not renewed afterwards.
- Fees already paid are not refunded, including for partial periods, unused services or unused stores. One-time services are not refundable once work on them has started.
- Commission invoices remain payable for all spend incurred before cancellation.
- We may end the service with 30 days' notice, or immediately if you seriously or repeatedly breach these Terms, fail to pay, or act unlawfully.
- When the service ends, access to the dashboard ends. Invoices and receipts are kept for as long as the law requires; other data is handled as described in our Privacy Policy.
9. Availability and errors
The dashboard and the app are provided “as is” and “as available”. We work to keep them available and accurate, but we do not promise that they will be uninterrupted, error-free or free of bugs. We may carry out maintenance and updates that cause temporary unavailability.
If an error affects an amount we charge — for example a technical fault in an invoice — we may correct it by issuing a corrected invoice, a credit or a new charge for the difference.
10. Security
We take appropriate technical and organisational measures to protect the service and your data, including encryption in transit and at rest, access controls and monitoring. No system is completely secure, however, and we cannot guarantee that unauthorised access, attacks or data loss will never happen.
If a security incident affects your personal data, we will notify you and the competent authorities where the law requires it. You are responsible for the security of your own devices, email and passwords, and of the third-party accounts you connect.
11. Intellectual property and confidentiality
- The dashboard, the app, our software, methods, templates, know-how and campaign strategies remain ours. You receive a limited, non-transferable right to use them while your account is active.
- Our campaign strategy — campaign types, budget rules, bidding, targeting and similar decisions — is our confidential information.
- Content you give us stays yours. You grant us a licence to use it to provide the service.
- Ads and creatives we produce for you may be used by you for your business once the related fees are paid.
- Each party keeps the other's non-public business information confidential, during and after the contract.
12. Data protection
We handle personal data as described in our Privacy Policy. Where we process personal data on your behalf — for example order data from your store — we act as your processor, only on your instructions and to provide the service. A data processing agreement is available on request.
13. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for anything else that cannot be limited or excluded by law.
Subject to that:
- we are not liable for loss of profits, revenue, sales, business, goodwill, data or anticipated savings, or for any indirect or consequential loss;
- we are not liable for the results of advertising, for ad spend, or for the acts, omissions, outages or decisions of advertising platforms, Shopify, payment providers or other third parties;
- we are not liable for loss caused by attacks or incidents that occur despite the security measures described in section 10, or by your own breach of these Terms;
- our total liability arising out of or in connection with the service, in contract, tort or otherwise, is limited to the fees you paid us in the three months before the event giving rise to the claim.
14. Your responsibility towards us
You will compensate us for claims, fines and costs (including reasonable legal fees) that result from your products, content, store or offers, from ads we run on your instructions or with your materials, or from your breach of these Terms or of the law.
15. Events outside our control
We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of hosting, payment or advertising platforms, cyberattacks, failures of networks or utilities, acts of authorities, natural disasters, war or pandemics.
16. Changes to these Terms
We may update these Terms. We will give you at least 14 days’ notice of material changes by email or in the dashboard, and may ask you to accept the new version. If you do not agree, you can cancel before the changes take effect; continuing to use the service afterwards means you accept them.
17. General
- These Terms, together with any signed proposal and our Privacy Policy, are the whole agreement between us about the service.
- If any part of these Terms is found invalid or unenforceable, the rest remains in force.
- Not enforcing a right straight away does not mean we have waived it.
- You may not transfer your rights or obligations without our consent. We may transfer ours to a company that takes over the service.
- We may send notices to the email address on your account, or in the dashboard.
- These Terms are governed by Portuguese law. The courts of the district of Lisbon (Comarca de Lisboa) have exclusive jurisdiction, without prejudice to any mandatory rights you have under the law of your country.
